Please read this agreement carefully to ensure that you understand each provision.

By checking the box next to Terms of Use, and clicking the purchase button, you, the purchaser (hereinafter “User” or “Users” or “You”) of a subscription (hereinafter “Products” or “Subscription”) acknowledge the terms as outlined herein, and agree to willingly purchase entry into the GOOSE portal, and you are voluntarily entering into a legally binding Agreement, including the Terms of Use mutually agreed upon.

1. ACCEPTANCE OF TERMS
   

1.1. Terms

1. These Terms of Use (hereinafter “Terms”) constitute a binding agreement between you and GOOSE. (hereinafter “Us” or “We” or “GOOSE”) governing the use and access to the products we offer in connection with a paid subscription to You and any authorized individuals engaged by You to use the Products on your behalf. By using or accessing the Products, or authorizing or permitting any user to use or access the Products, You accept and agree to be bound by these Terms.
2. You represent and warrant that the information You provide in registering for the Product is accurate, complete, and rightfully Yours to use.
   
   

2. USE OF OUR SERVICE

Our Service Overview: GOOSE operates an online subscription-based service that empowers members and users to enhance their practices through educational training and distribution of designed materials. We provide ready-made content for social and email advertising efforts.

2.1. Membership Outline:

1. User agrees and understands that he/she/they is purchasing a monthly subscription to GOOSE, a portal that provides, but is not limited to, educational training courses, designed collateral materials for redistribution on behalf of the User’s practice, monthly social media content, and email marketing content.
2. User acknowledges that he/she/they have read the Terms prior to membership purchase.
3. User agrees to be bound by the Terms outlined herein, as well as the general policies on GOOSE’s website.
4. GOOSE Basic, Advanced and Premium subscriptions are not considered to be a replacement for personalized business, medical or marketing advice.

2.2. Eligibility

1. Users may use the Product only if the User can form a binding contract with GOOSE, and only in compliance with these Terms and all applicable local, state, national, medical and marketing rules and regulations. 
2. You must be 18 years or older to enter into a binding agreement with GOOSE. Any use or access to these Products to individuals under 18 years of age will be in violation of this agreement.
3. User further represents and warrants that You are under no legal disability or contractual restriction that prevents You from entering into this agreement.

2.3. Confidentiality

1. User understands he/she/they is purchasing a monthly subscription to GOOSE. Gained access to various educational elements, consultation, collateral, content and personal intellectual property of GOOSE, including but not limited to business consultation, and/or other information that may become available through the GOOSE portal for User use is not to be openly shared with others who have not purchased a membership to GOOSE. Redistribution of proprietary information, documentation, collateral, social media, and any additional content will be in violation of GOOSE Terms.
2. Should Users violate GOOSE Terms by redistribution of content or disclosing confidential or proprietary information received within the GOOSE portal to non-subscribed individuals will result in cancellation of service. Additional action may be taken by GOOSE up to and including legal action.

2.4. Testimonials

1. GOOSE may request, but not require, Users to provide patient and business testimonials to be enhanced, designed, and redistributed as content to be used and accessed by all GOOSE employees and Users.
2. If a User accepts and provides GOOSE with patient and business testimonials, User understands the material will be utilized and redistributed by GOOSE to all Users with no form of compensation, monetary or otherwise, to the User that provided the patient or business testimonial or to the party providing the testimonial.
3. Upon opting in to testimonials and providing testimonial content to GOOSE, the User gives GOOSE an unlimited, irrevocable license to repurpose, share, publish, redistribute, and use otherwise, the User's provided content.
4. User Testimonial content will be used in, but is not limited to, the redistribution within social media posts, emails, paid advertisement copy or graphics, and website use.
   
   
   

3. PAYMENT PROCESSING

Payment Overview: GOOSE is a subscription based service. You can pay via credit card, or connect your bank account for easy payment processing. Cancellation will require a 30 day notice. Subscriptions can be paused for up to three months. No refunds will be issued for products or services.

3.1. Payment in Application

1. By submitting payment information and agreeing to terms, the User understands the cost of GOOSE subscriptions will be charged, in full, automatically on the first day of each month with the exception of the initial charge occurring on the day of subscription enrollment, in accordance with GOOSE’s auto-renewal terms. Upon initial purchase of a subscription, regardless of the day of the month the purchase is made on, the User will receive access to all content developed and provided to subscribers on the first day of the month of purchase.
2. User understands that he/she/they is responsible for payment, in full, on the first day of each month, every month, to the designated Third-Party Payment Processor authorized for use by GOOSE.
3. Should the User's form of payment fail to be processed, GOOSE reserves the right to process payment one additional time. If payment is not received, User will receive three notifications within 10 business days. If payment is not received after 10 business days, the User’s subscription will be cancelled. The User will be denied access to all content, previous and otherwise, until payment is received. 

3.2. Auto-Renewal Agreement

1. The User understands and agrees that continued access to the GOOSE portal requires recurring monthly payments by the User on the first day of each month.
2. By submitting credit card information, the User authorizes GOOSE to store their credit card information and agrees to ongoing recurring payments by the Third-Party Payment Processor of GOOSE’s choice until notice of cancellation, properly executed as detailed in the section 3.5 Cancellation of Terms, is received.

3.3. Subscription Pausing

1. User may elect to “pause” subscription for up to three months.
2. Upon subscription pausing, User will have access to the portal until the upcoming payment date. Suspension of all portal access will occur during the paused subscription period.
3. Payments will automatically, and continually, be charged after the three month pausing period if a cancellation is not initiated.
4. Pausing of subscription is available for up to three months, however, subscriptions can be reactivated prior to the three month period through the billing section of the User’s profile.

3.4. Changes to Your Plan

1. If the User chooses to upgrade their plan, the difference between their current plan and their upgraded plan will be charged on the day the upgrade is activated. Access to the upgraded plan will be immediate.
2. Additional packages available for purchase within the GOOSE portal are available for a one-time fee that will be charged upon purchase of said package.

3.5. Cancellation

1. If the User wishes to cancel their GOOSE subscription, a minimum of a 7 day notice, prior to the upcoming billing cycle, is required. Upon cancellation, the User will have access to the portal until the beginning of the next billing cycle. 
2. If the User cancels their subscription within 7 days of the next billing cycle, they will be billed and have access to the upcoming month’s content. The cancellation of subscription, ceasing of auto-transactions, and access to GOOSE content will be initiated in the following billing cycle.
3. In order to cancel a subscription, the User must initiate the cancellation process through their billing section in settings. The User must contact GOOSE to request cancellation of service.

3.6. Termination

1. GOOSE reserves the right to restrict functionality of, and/or terminate the User’s GOOSE account if we have reason to believe the User is in violation of these terms.
2. Unless we believe the need to restrict or suspend access is time-sensitive and requires immediate action without notice, or we are prohibited from providing notice under law or legal order, we will use reasonable efforts to notify the User by email, portal contact, or phone call prior to Subscription termination.
3. We reserve the right to terminate the User’s account for, but not limited to, the following reasons: (a) User fails to comply with Terms; (b) does not pay fees in accordance to Terms; (c) User violates Intellectual Property Rights as outlined in section 8. Intellectual Property Rights of Terms.

3.7. Refund Policy

1. GOOSE does not offer refunds once the User has purchased any Product or Service from GOOSE.
2. User agrees and understands that satisfaction of experience or performance results does not warrant any form of refund or compensation.

3.8. Taxes

1. All payments made by the User are exclusive of federal, state, local, and national taxes, duties, tariffs, levies, withholdings, and similar assessments. 
   
   

4. REGISTRATION AND THIRD PARTY INTEGRATIONS

User Registration Overview: We allow two logins with every subscription. Sharing logins or content that comes from within the GOOSE portal is a violation of GOOSE Terms and will result in account suspension or termination.

Third Party Integration Overview: In order to make your social media plan as easy as possible we provide the option for User’s to connect their social media accounts to the GOOSE app for push-to-post capabilities. You can choose to schedule your content to post to your connected third party apps through the GOOSE portal. 

4.1. Registration of Application

1. User agrees that they will only access our Application, Subscription, or Products for internal business purposes and subject to these Terms.
2. If you, ast the User adds an additional User to your subscription, you are responsible for all information, data, content, messages, and other materials that you or your User posts or otherwise transmit via the Application. You acknowledge and agree that a login may only be used by one (1) person, and that you will not share a single login among multiple people.
3. You, the primary User, are fully responsible for verifying that the downloading of content, private account maintenance, proper distribution of materials, and/or any additional activities that are performed are within the Terms agreement guidelines and understand that violation of said agreement made by the primary or secondary User can result in Subscription termination.
4. You, the User, agree to use reasonable efforts to prevent unauthorized use of the Products and notify us immediately if you discover any unauthorized use through your account.

4.2. Third Party Integration

1. Our Application contains links that allow you to connect and use certain external third-party products and services in conjunction with the use of the GOOSE Application and Products, including social media networks and other integration partners. To take advantage of these features, you may be required to sign up or log into such Third Party Services on their respective platforms or website application.
2. By enabling the Application to access such Third Party Service, you are permitting GOOSE to pass on your login information to the Third Party Service and granting the Third Party Service to access or otherwise process your data.
   
   

5. GOOSE PRODUCT REGULATIONS

Product Regulation Overview: Our designers, strategists, copywriters, and developers are working hard to bring you the latest and greatest in healthcare marketing. We don’t allow sharing of our product to unsubscribed individuals. If you love the product enough to want to share it, please recommend use to your friends! We ask that you don’t share the content with unsubscribed individuals so we can keep paying the awesome team that’s here to create content for you.

5.1. Using GOOSE Products

1. By agreeing to the Terms, you, the User, will not permit any unauthorized party to (a) license, sublicense, sell, lease, trade, or otherwise permit additional parties to use the Products and/or Subscription provided; (b) circumvent or disable any security or other technological features or measures that prevent the unauthorized distribution of our product; (c) manipulate, disassemble, or redistribute any of the uneditable content provided within the GOOSE portal, including but not limited to, worksheets, educational videos, testimonials, and educational sections of editable content.
2. User agrees to not use, post, distribute, or link any GOOSE content to any third party content, app, or website that includes any defamatory, libelous, fraudulent, derogatory, abusive, obscene, unlawful, hateful, harassing, violent, threatening, racist, or discriminatory content.
3. User agrees to not post, upload, link to, send, distribute, any GOOSE content in conjunction with any content that contains viruses, malware, Trojan horses, ransomware, or any other harmful software.
4. User agrees to review all content before distributing to ensure it makes an accurate representation of the business for which the content is being used to market or represent. GOOSE disclaims any responsibility for any content, language, descriptions, materials, or otherwise that does not reflect a true representation of the business for which it is being used to represent.
   

6. CONFIDENTIAL INFORMATION

Confidential Information Overview: With your subscription, you’ll have access to trade secrets and intellectual property. By signing these terms, you agree to not share this information in any unauthorized way.

6.1. Confidentiality

1. User understands he/she/they is purchasing a monthly subscription to GOOSE. Any gained access to various trade secrets and intellectual property of GOOSE, including but not limited to, training videos, one-on-one business counseling, educational documentation, social and email content, graphic design, collateral, and any other information that may become available through the GOOSE portal is not to be openly shared with anyone who has not purchased a membership to GOOSE, and agrees that he/she/they will be in violation of this agreement and will be subject to cancellation of the subscription, and/or legal action.
   

7. DATA PRIVACY

Data Privacy Overview: We won’t sell your information or spam you, but by agreeing to terms you are allowing us to gather your information for internal analyzation purposes. We do this to provide the best service to you and all of our other users.

7.1. Data distribution

1. User’s profile data will not be redistributed or sold by GOOSE, unless required by law. 
2. By agreeing to Terms, User agrees to let GOOSE read, analyze, and understand User’s data to construct and provide better products and user experience.
   

8. INTELLECTUAL PROPERTY RIGHTS

IP Rights Overview: When you submit reviews (which we absolutely love) it helps us and the direct care industry as a whole. By submitting content, you give us the right to utilize it on behalf of GOOSE and all users. We have restrictive IP rights over all GOOSE content that lives behind the paywall. Sharing this content in a way that violates the terms will result in a cancellation of your subscription.

8.1. User’s IP Rights

1. User owns all content provided to GOOSE. Upon submission of content, the User grants GOOSE royalty-free rights to use, copy, edit, redesign, publish, and distribute content provided. 
2. By agreeing to submission of content, User agrees that You are entitled to and authorized to submit the Content and that such Content you submit is accurate and not in any violation of contractual restrictions or third party rights.

8.2. GOOSE’s IP Rights

1. We own and retain all rights to the Products along with all patents, copyrights, trademarks, domain names, trade secrets, and any other intellectual property related to the Products.
2. Your use and payment to access said Products does not entitle You to additional rights or ownership of the intellectual property.

8.3. Ownership of Statistical Data

1. User acknowledges and agrees that GOOSE has a right to own and analyze Your statistical data and information resulting from You or Your additional User’s use of the GOOSE Products.
   

9. GOOSE MOBILE APP

GOOSE Mobile App Overview: In order to use our app, your mobile device might require updates. GOOSE cannot guarantee quality app functions on devices that are not running up-to-date software.

9.1. GOOSE Mobile App

1. Use of the GOOSE Mobile App requires your mobile device to be compatible with the latest Mobile Applications. The Mobile Applications may automatically upgrade from time to time depending on your user settings. Your consent to such automatic upgrades and the standard carrier data charges that may apply to your use of the Mobile Applications. 
   

10. INDEMNIFICATION

Indemnification overview: Should you be dissatisfied with GOOSE services, by signing this document you agree that GOOSE is not responsible for any performance standards and dispute will not be taken to a court of law.

10.1. Indemnification

1. User agrees to defend, indemnify, and hold harmless GOOSE and its subsidiaries, agents, licensors, managers, employees, and any other affiliated companies and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses arising from: (a) Your use of and access to GOOSE Products, including but not limited to any data or content transmitted or received by You; (b) Your violation of any Term in this agreement, including without limitation Your breach of any of the representations and warranties above; © Your violation of any Third-Party Vendor terms, including but not limited to privacy, publicity, or Intellectual Property Rights; (d) Your violation of any applicable law, rule or regulation; (e) any claim or damages that arise as a result of your User Content, Digital Media, or any content that is submitted that is submitted via Your account; or (f) Your secondary User’s access and use of GOOSE Products with Your unique username, password, or other account information.
   

11. WARRANTY

Warranty Overview: GOOSE provides services as outlined in your subscription for you to utilize to your discretion, but we don’t guarantee, provide warranty, or refund on any of our products or services. We have no responsibility for the quality of service received due to your internet provider or equipment your membership is accessed on.

11.1. No Warranty

1. GOOSE Products and Services in web and mobile applications, are provided on an “as is” basis, without any warranties, guarantees, conditions, or representations of any kind. To the maximum extent permitted by applicable law, we expressly disclaim any and all warranties, representations expressed or implied.
2. We do not warrant that the Application or Products will be uninterrupted, available, accessible, timely, complete, or error-free. 
3. GOOSE disclaims any responsibility for any malfunctioning, restricted access, poor use conditions of the Products or Services due to inappropriate or incompatible equipment, lack of access to internet service providers, or saturation of internet network or any other related error.
4. GOOSE is not responsible for any unauthorized access to, or alteration of data not within GOOSE’s reasonable control.
5. By agreeing to Terms, User agrees and acknowledges that they are using these Products and Services at their own risk. 
   

12. AMENDMENTS

Amendment Overview: You can’t alter or change this agreement. By accepting and signing these terms, you agree that you will not do that. Any attempt to alter this agreement will result in account termination.

12.1. Amendments

1. This agreement is not to be altered, amended, changed, extended, or considered waived without explicit expression and authorization by a GOOSE representative.
